Terms of Service
These Terms of Service (the "Terms") set forth the conditions for the use of the GPU hosting price optimization service "VastPilot" (the "Service") provided by Commodity Systems Inc. (the "Company"). All users (the "Users") shall use the Service upon agreeing to these Terms.
Article 1. Definitions
The following terms used in these Terms shall have the meanings set forth below:
Article 2. Description of Service
The Service provides the following features:
The Company may add, change, or discontinue features of the Service. For discontinuation of major features, Users will be notified in accordance with Article 8.
Article 3. Account
To use the Service, Users must register an account through the method prescribed by the Company, providing true and accurate information.
Users are responsible for properly managing their account information (email address, password, etc.). The User shall bear responsibility for any damage caused by inadequate management, usage errors, or use by a third party.

The Service is currently provided free of charge. The Company may introduce paid plans in the future. In the event of such introduction, Users will be notified at least 30 days in advance.

IMPORTANT: Pricing recommendations provided by the Service are for informational purposes only and do not constitute financial advice or guarantees.
Article 7. Vast.ai API Usage
The Service interacts with the Vast.ai platform on behalf of Users using API keys they provide. Users acknowledge that:
Article 8. Service Changes and Termination
The Company may change, suspend, or terminate all or part of the Service in the following cases:
In the event of terminating the entire Service, the Company shall notify Users at least 60 days in advance, except in cases of unavoidable emergency.
The Company designates a scheduled maintenance window each week from Sunday 04:00 to 04:30 JST (Japan Standard Time) for tasks such as database backup. During this window, all or part of the Service may be unavailable. No individual advance notice will be given for scheduled maintenance; publication in these Terms constitutes notice to Users. Emergency maintenance may also be performed outside the scheduled window, at any time. Any damages arising from unavailability of the Service due to maintenance (scheduled or emergency) or system failures shall be governed by Article 9; the Company shall not be liable except in cases of willful misconduct or gross negligence.
Article 9. Limitation of Liability
The Company makes commercially reasonable efforts to operate the Service but does not guarantee:
The Company's liability shall be limited to direct damages actually incurred by the User, and shall not include lost profits, indirect damages, or special damages, except in cases of willful misconduct or gross negligence by the Company.
The provisions of this article shall not apply to Users to whom the Consumer Contract Act or other mandatory laws apply, to the extent that such provisions conflict with such laws.
Article 10. Changes to Terms
The Company may change these Terms in the following cases:
The Company shall notify Users of changes at least 30 days before the effective date. Corrections of typographical errors, formal changes due to law amendments, and changes that do not disadvantage Users may be made without prior notice.
If a User continues to use the Service after the effective date of the change, the User shall be deemed to have agreed to the revised Terms.
Article 11. Intellectual Property
Copyright, patent rights, trademark rights, and other intellectual property rights related to the Service belong to the Company or third parties who have granted licenses to the Company.
Article 12. Exclusion of Anti-Social Forces
Users represent and warrant that they are not and will not be associated with organized crime groups, their members, or similar anti-social forces. The Company may immediately terminate the agreement without notice if a User is found to be in violation of this provision.
Article 13. Severability
If any provision or part of these Terms is held to be invalid or unenforceable by law, the remaining provisions of these Terms shall continue in full force and effect.
Article 14. Governing Law and Jurisdiction
These Terms and the agreement shall be governed by the laws of Japan. Any disputes arising from or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
